2 questions lodged at 2026 Woolworths (WOW) hybrid AGM

November 2, 2026

Below is the text of the 2 written questions submitted at the Woolworths (WOW) 10am hybrid AGM at their Sydney HQ and via the Lumi platform on October 29, 2026. See notice of meeting detailing 9 resolutions. Market cap $49.9b on AGM day. See 4 questions asked at 2025 AGM. The proxies were disclosed early in the formal addresses. The biggest protest was 9.13% against the re-election of chair Scott Perkins who was under the pump over his unnecessary intransigence on Tasmanian salmon sourcing issues. The Six campaign against him did better than many observers expected.

Q1. The chair suffered the biggest protest vote today with 8.9% against his re-election. What are his reflections on why this occurred? It is very rare for a top 20 company to have their chair face a campaign which achieves such supports, particularly when none of the proxy advisers or top 20 shareholders recommended or voted against. Is it correct that on the headcount metric, more shareholders voted against than for today. What percentage of our shareholders voted before the proxy voting deadline and what sort of campaign did you run to get out the vote? Did you even achieve a 2% turnout?

Q2. ITEM 4 question: Thank you for disclosing the proxy votes earlier to the ASX, following the agenda today and offering both online questions and voting at today's best practice hybrid AGM. All you need to do now to join the top 10 best practice list is to embrace head count voting disclosing in the poll results, like with a scheme of arrangement. If the likes of Stockland, ASX, Qantas, Tabcorp, Suncorp, Bluescope, Computershare and many other companies all do that, why won't we? You've got the data, so please let the sun shine in so we can see how many shareholders voted for and against this proposed LTI grant? By doing so, retail shareholder voting sentiment is made public along with the chronically low retail shareholder voting rate since the move away from paper voting after COVID.
