Wrap of AGM engagements with NZ-based companies

Here is a wrap of 32 AGM engagements with New Zealand-based companies which are dual-listed on the ASX and offered hybrid AGMs since they become common after the pandemic. Common theme is asking for a rem report vote and yet to receive a positive response. Xero is the only Kiwi company which does this voluntarily.

Air New Zealand (AIZ), 2022: 2pm Auckland time, September 22. 2022: Hybrid meeting in Auckland which lasted 1 hour and 42 minutes. Lodged these 14 questions but only 4 were asked. Watch AGM webcast. No meaningful protest votes and proxies were disclosed with the formal addresses ahead of the meeting.

Fletcher Building (FBU), 2024: 8.30am hybrid (Melbourne time) in Auckland on October 23, 2024. See notice of meeting. Plenty of issues in its recent $NZ700m capital raising. The acting chair Greg Crowley, an Australian and former CEO of GWA and Austrim, was positively belligerent when asked for some fairly standard AGM transparency and procedure changes.

Only protest 12% against Chad Barton the former CFO of Star Entertainment, who the chair strongly exonerated for all the subsequent problems at Star after he left. Also got former Tabcorp CEO David Attenborough talking about his AUSTRAC problems, given this outfit settled with AUSTRAC for $67 million over money laundering at its Adelaide casino.

TASK Group (TSK), 2024: the restaurant technology company only shifted its HQ and primary listing to Australia in 2023 and now it is being taken over by NYSE listed rival PAR Technology in a $310 million deal announced with a full scheme implementation agreement on March 11, 2024. The scheme book dropped on May 28 and the virtual scheme meeting was scheduled to start at 11am on June 28 Sydney time but was delayed on the day until July 4 due to "conservative legal advice, not ASIC". Volpara Health Technologies (VHT), 2024: an agreed takeover of the Wellington-based breast cancer company by South Korean cancer AI company Lunit Inc which values the equity at $296m. See scheme book. Hybrid scheme meeting held at 11am on April 12 and asked 3 online questions. Was approved by 97% of voted stock and no head count vote required in NZ. Xero (XRO), 2023: fully hybrid meeting starting at 9am Melbourne time on August 17 with physical component in Auckland. See notice of meeting.
