Q1. How many of our circa 2500 shareholders voted by proxy before today's meeting and how many are on the call. What steps did we take to maximise retail shareholder participation in this EGM?
Answer: Question wrangler Gillian Nairn read all the question in full and chair Kate Hill provided considered answers like this one, explaining that 58 shareholders voted by proxy and 17 people not affiliated with the company were on the Zoom call. There was only modest opposition of about 7%. against each resolution. Watch video of exchange via Twitter.
Q2. Why are we running the questions on Zoom today and the voting through our share registry provider Computershare? How much more would it have cost to use the full Computershare online meeting platform for both function as it is a bit cumbersome asking shareholders to juggle two platforms at this meeting?
Answer: Question wrangler Gillian Nairn read this clearly and in full and then chair Kate Hill explained that they were saving cash and it used to cost around 10k to use the Computershare platform back when she was a company secretary. Watchvideo of exchange via Twitter.
Q3. We've got $125 million in accumulated losses. Aren't these incentive grants dilutionary for the existing holders and, if approved, will just make it even harder for long-suffering shareholders to recover some of their past losses?
Answer: When the going gets tough in small cap land, it's important some directors stick around and attempt to salvage some value. Like the way chair Kate Hill clearly explained how they had transitioned to a lower cost CEO, as well as how the new CEO had no STIs and was incentivised by options to get the share price up. Q4. You haven't lodged any prepared addresses with the ASX, which could have included early disclosure of the proxy votes on both resolutions being dealt with at this EGM. Have there been any material proxy protest votes against either resolution? If so, what concerns have been raised by shareholders?
Answer: They had disclosed the proxies by the time this question was read out and the chair Kate Hill explained there were no material proxy protest votes.
