Q1. Chairing a merged company is no easy job. Could Dawne Hickton please comment on what she regards as the most challenging aspects of the job so far.
Answer: The American chair Dawne Hickton provided a good answer and sounds impressive. Watch video of exchange via Twitter.
Q2. How extensive was the chair's engagement with proxy advisers and major institutional shareholders ahead of today's AGM?
Answer: The chair Dawne Hickton cleared her diary for meetings with shareholders and proxy advisers but the question wrangler explained that all meetings were declined. And with no protest votes, that's just fine. Watch video of exchange via Twitter.
Q3. Did any of the proxy advisers recommend against the remuneration report and has there been a material protest vote? If so, what was the issue. Also, at next year's AGM please disclose the proxy position earlier along with the formal addresses to allow for a more fully informed debate and facilitate more timely disclosure to the market.
Answer: The chair Dawne Hickton said both ISS and Glass Lewis issued reports and recommended in favour of all resolutions, but offered no commentary on early proxy disclosure.
Q4. When disclosing the outcome of voting on all resolutions today, including this proposed LTI grant, an issue which particularly interests retail shareholders, please adviss the ASX how many shareholders voted for and against each item, similar to with a scheme of arrangement? This will provide a better gauge of retail shareholder sentiment on all resolutions and insight into the chronically low retail shareholder participation rate. The likes of Qantas, ASX, Suncorp, Tabcorp, Myer, Flight Centre, Stockland and even the world's biggest share registry provider Computershare have all voluntarily provided this data at their most recent AGMs. You've got the data, so why not let the sun shine in?
Answer: The question wrangler cut this right back and chair Dawne Hickton strangely claimed such voluntary disclosure similar to what all these companies now do would somehow be "misleading", a word she used twice. Watch video of exchange via Twitter.
Q5. Will a copy of the AGM webcast be published on your website?
Answer: The chair Dawne Hickton said yes, but still waiting for it to delivered. Watch video of exchange via Twitter.
