4 questions lodged at 2026 OOH Media (OML) scheme meeting

November 2, 2026

Below is the text of the 4 written questions submitted at the OOH Media (OML) 11am hybrid scheme meeting held in Sydney and via the MUFG platform on November 2, 2026 to approve the agreed I Squared Capital takeover bid. See the 325 page scheme book which included the notice of meeting. Market cap was $882m on EGM day. The proxies were disclosed early in these formal addresses. There were no protest votes. Own 6 shares.

Q1. The 325 page scheme book was almost as long as the Anthropic prospectus which is a much more complex beast. Why does a simple agreed takeover of an outdoor advertising business require such a huge document which barely anybody reads? If the chair had the power to simplify and speed up Australia's takeover regime, what changes would be made?

Q2. Australia is currently in the midst of an unprecedented deluge of takeovers that has contributed to listed entities on the ASX dropping by 11% since January 2023 to 2,044 on September 30, 2026. There were a record 27 takeovers above $100m completed in 2024-25 and this rose to 30 in 2025-26. Why do the chair and CEO believe this is happening? Is there also a problem with the scrutiny and extra regulation of ASX-listed companies, which don't benefit from index investing? Does the chair agree this is a problem for the nation?

Q3. Thank you for disclosing the proxy votes early to the ASX early along with the formal addresses. And thank you for opening the live online voting today half an hour before kick off. Why did it take you so long to see the light and offer shareholders a hybrid meeting, including a physical location and the ability to participate online? And will a full copy of the AGM webcast be made available on our website for the benefit of shareholders who were unable to tune in live, at least until the deal closes?

Answer: The chair... Watch video of exchange via Twitter.

Q4. The proxy turnout was 363 shareholders on the head count metric when our last annual report said that we have 4,963 shareholders, suggesting a proxy voting participation rate of 7.31%? Is that regarded as good? What sort of proxy solicitation campaign did you run to get out the vote and, apart from the chair casting undirected proxies, how many shareholders have voted online so far today, as I have done? Are there many voting shareholders in the room?

Answer: The chair... Watch video of exchange via Twitter.
