3 questions lodged at 2026 Polynono (PNV) hybrid AGM

October 30, 2026

Below is the text of the 3 written questions submitted at the 92 minute Polynono (PNV) 11am hybrid AGM at RACV Club and via the Computershare platform. See notice of meeting detailing 4 resolutions. Market cap $597m on AGM day. The proxies were not disclosed early in the formal addresses. Biggest protests were 13% against rem and 26% against director Charmaine Gittleson.

Q1. I've only just arrived an hour into proceedings due to clashes with several other public company AGMs. Why didn't you disclose the proxy position to the ASX along with the formal addresses so that people like me can be fully informed on the proxy votes? Will you do that next year and were there any material protest votes on any of today's resolutions, including this remuneration report item? Which proxy advisers covered us and did they recommend against any items?

Answer: Question wrangler Amy edited this down which was fine as the key bits remained and chair Leon Hoare explained that all 4 proxy advisers recommended in favour of all resolutions and there were no material protest votes, which was actually wrong if you look at the poll results. Q2. Which recruitment firm assisted with the recruitment of the new directors, including Dr Gittleson? Was it a competitive process and did any of the 3 new directors know any of our existing directors or KMP before engaging with the recruitment process.

Answer: The chair Leon Hoare gave a good summary of a competitive recruitment process which was assisted by an un-named recruitment firm. Watch video of exchange via Twitter.

Q3. Will a full copy of the AGM webcast be published on your website, not an edited down version as used to happen in the David Williams days? If not, this meeting just becomes a selective briefing for the tiny minority of shareholders who watched it live at the RACV or online?

Answer: Not asked.
