Q1. ASIC has commenced civil penalty proceedings against our former CEO Anthony Heraghty, alleging he breached his directors' duties and provided misleading information to the board and the market about a relationship with a fellow executive. Did Super Retail encourage ASIC to take this action or participate in any way in ASIC's preparations ahead of issuing proceedings? Are the former CEO's legal expenses being covered under a company insurance policy or is he being left out of pocket from this exercise?
Answer: The chair Judith Swales said they co-operated with ASIC, the former CEO is covered under an indemnity policy but he'll have to repay the company if the court finds him guilty. Watch video of exchange via Twitter.
Q2. Thank you for holding a best practice hybrid AGM today including both questions and voting. You've also commendably disclosed the proxies early to the ASX along with the formal addresses. Well done for achieving strong voting support on all resolutions. How extensive was your pre- governance roadshow and which directors and executives met with the various proxy advisers and major shareholders. What was the major point of discussion about our remuneration policies?
Answer: The chair Judith Swales gave a good summary of the road show. Watch video of exchange via Twitter.
Q3. With this excellent hybrid AGM format, you're getting very close to AGM best practice. Thank you for following the agenda today, something JB Hi Fi didn't do at its AGM earlier today. All you need to do now to be a top 10 company for AGM practice is disclose the head count data in the poll results. Given that Suncorp, ASX, Qantas, Myer, Tabcorp, Stockland & many others already do this, will you make the switch today and reveal how many shareholders voted for and against each item, including this proposed LTI grant to the CEO?
Answer: The chair said not this year and she was right as you can see in these results. A shame. Watch video of exchange via Twitter.
Q4. There was a 25% protest vote against the chair's re-election last year. What was the issue and what changed this year with strong voting support for all resolutions, including the director elections?
Answer: The chair explained that ASIC had completely cleared the company over the CEO affair issue, which clearly impacted the voting last year. Watch video of exchange via Twitter.
