2 questions lodged at 2026 CSL hybrid AGM

October 27, 2026

Below is the text of the 2 written questions submitted at the 133 minute CSL 10am hybrid AGM at The Sofitel in Melbourne and via the Lumi platform even though Computershare runs the share register. See notice of meeting detailing 4 resolutions. Own 1 share. See 6 questions lodged at 2024 AGM. Market cap was $94.4b on AGM day. The proxies were not disclosed early in the formal addresses. They copped a 43.3% second strike at last year's AGM. No material protest votes this year.

Q1. Were we under any pressure from institutional shareholders or proxy advisers to announce the chair succession before today's AGM? What drove the timing to announce it yesterday, after proxy voting had closed, rather than today? Did we use any external party to assist with handling the chair-succession, such as a recruitment firm to consider any potential external candidates to become chair?

Answer: Brian McNamee gave a good explanation and with a new external CEO starting next year, going back to the future with Gordon Naylor as chair is a good mix of old and new. Watch video of exchange via Twitter.

Q2. Second and final question from me just on AGM process. Why do we use the Lumi system for online questions when our share registry provider Computershare offers a perfectly good online meeting platform, complete with online voting, which we haven't offered today? Why the change of venue this year and will you disclose the headcount data in the poll results so we can we see how many of our shareholders voted for and against the various resolutions today? Did even 2% of shareholders lodged proxy votes and what sort of campaign did you run to get out the vote?

Answer: Scored the last question at CSL at their 133 minute hybrid AGM after commitments elsewhere wrapped up. Was a bit lame but interesting on Lumi and looking forward to cosec Fiona Mead selectively briefing me on the proxy voting head count turn out. They should just tell the ASX.
