5 questions lodged at 2026 Fleetwood (FWD) hybrid AGM

October 27, 2026

Below is the text of the 5 written questions submitted at the 50 minute Fleetwood (FWD) noon hybrid in Sydney and via the Computershare platform on October 27, 2026. See notice of meeting detailing 3 resolutions and 7 questions asked at 2024 AGM. Market cap $195m on AGM day. The proxies were not disclosed early in the formal addresses and there were multiple protests votes in the 14-16% range.

Q1. Could the EY audit signing partner summarise the changes to key audit matters (KAMs) made over their time as auditor since EY was first appointed 4 years ago. How is preparation going for the first EY audit partner handover. Will EY offer up multiple partner candidates for the directors to choose from and when will that process occur?

Answer: EY needs to shorten their scripts. Today's Fleetwood AGM produced the longest ever preamble/disclaimer have ever heard from a public company audit signing partner. Watch video of long speech via Twitter, plus these additional comments by the auditor, who eventually explained that two new KAMs had been added this year.

Q2. The annual report reveals that activist shareholder Sandon is our largest investor with 13.8%. How do we deal with Sydney-based Sandon? Have they been telling us what to do and to what extent have we followed their advice? Have they been influential on the question of board composition and are they in the room today? Have they voted in favour of all resolutions, including the 2 directors re-election resolutions?

Answer: The chair John Klepec said they treat Sandon the same as everyone else and then claimed not to know how they voted. It then became apparent that Gabriel Radzyminski from Sandon was in the room and he advised that Sandon voted in favour of all resolutions. Wake up, chair. You should know this as corporate voting is not a secret ballot. Watch video of exchange via Twitter.

Q3. Thank you for offering a best practice hybrid AGM today. Not many small caps do this. In terms of the resolutions, do any of the proxy advisers covers us? If so, did any recommend a vote against any of today's resolutions including this remuneration report? It would have been better to disclose the proxy votes to the ASX along with the formal addresses to provide more timely disclosure. Will you do this next year?

Answer: Two proxy advisers covered the meeting and they recommended in favour of all resolutions. Watch video of exchange via Twitter.

Q4. Has Sandon saved us from a strike today given the proxies show 15% against?

Answer: The chair said it was a hypothetical question because the motion had passed, which was bizarre because we were just looking at the proxies and anything can happen in the poll. Sandon could have changed its 13.8% vote, but didn't as you can see in these poll results released later to the ASX. Watch video of exchange via Twitter.
Q5. 16% against Ms Parker on the proxies is larger than usual. Did a proxy adviser recommend against? What was the issue? Why aren't the director candidates giving speeches?

Answer: The chair John Klepec said both proxy advisers were in favour and he didn't know who voted against. He should know. It's not a secret ballot? Watch video of exchange via Twitter.
