Q1. Congratulations on your 50th birthday. Has our largest minority shareholder Solly Lew passed on his congratulations? Could the two Hill brothers who serve as executive directors each both comment on what they regard as the 3 most important decisions the company made over that 50 year journey in delivering our impressive long term performance?
Answer: Because Globe runs a virtual AGM with no video, couldn't tell which of the Hill brothers took this one, but the speaker appreciated the 50th birthday congratulations, fobbed off Solly Lew's endless activism and then waxed lyrical on the 3 most important moves that made Globe what it is today. Q2. Thank you to independent chair Harry Hodge for completing his first 3 year term on the board and for offering himself up for a second 3 year term. Is he committed to serving a full 3 year term? How many of our 838 shareholders voted in favour of his election by proxy and did this include Mr Lew? As the independent chair has he attempted to engage with our largest independent shareholder? Also, could Harry please summarise the major changes he has brought to Globe as chair over the past 3 years.
Answer: Harry said he hadn't attempted any peace talks with Solly. One of the Hill brothers (Peter) commented earlier that the dispute dated back to their dealings with Solly so Harry wasn't in a position to comment. Watch video of exchange via Twitter,
Q3. Has our largest minority shareholder Solly Lew voted by proxy and triggered yet another spill meeting by voting his 5.9% stake against the rem report knowing that the Hill family are unable to vote their combined nearly 70%. Over the years, how many times have we suffered a second strike and run a spill EGM? Are you aware of any other company which has had so many remuneration spill meetings. Have we ever had any communications with Mr Lew during the decades that he has been doing this? Do you know why he keeps doing this?
Answer: Peter Hill wasn't sure on the history but said it is what it is and Solly's entitled to his views as a minority shareholder but is a busy guy so they don't communicate much. Watch video of exchange via Twitter.
Q4. How many audit tenders have we run during PwC's 23 year run as auditor? When are we next likely to run an audit tender?
Answer: Loved this answer from CFO Karen Browne. Her joining 3 years ago coincided with the partner rotation. She ran a pseudo tender, crunched them down on price, sized up the new bloke David Patterson and when he came up okay, she gave PWC another a 3 years. Bravo! Watch video of exchange via Twitter.
Q5. A lot of ASX listed company constitutions prohibit virtual AGMs. What is the history of our constitution allowing for virtual AGMs? Best practice is actually to hold a hybrid AGM with both a physical location and online participation. Will you offer a hybrid next year so that our shareholders can engage in person with the directors if they so desire? Whatever you do, please don't revert to an in-person meeting with no online participation as that is much worse than a virtual AGM?
Answer: Back in the day, Solly Lew's crew made merry hell at Globe AGMs as part of his feud with the Hill brothers, so they used their 70% voting control to change the constitution to allow for today's virtual AGMs with no video. Hence, the lack of enthusiasm with this pitch for hybrid AGMs which won't be happening any time soon. Watch video of exchange via Twitter.
