Q1. Australia has the world's highest minimum wage and this Federal Government has introduced a number of new laws in the industrial relations space which have hurt productivity. What is our overall level of engagement with the union movement? What proportion of our staff are unionised and how many registered enterprise agreements do we have?
Answer: "zero", said the CEO before explaining Redox is regularly rated as a great place to work. Watch video of exchange via Twitter.
Q2. Thank you for disclosing the proxy votes early to the ASX along with the formal addresses. I was surprised the 7.2m votes against Renato's re-election wasn't the largest modest protest given there were 9.9m proxy votes or 5.56% against Sheila's election. Did a proxy adviser recommend against both Renato and Sheila and what was the issue with Sheila given that she is an independent director?
Answer: Out going Redox chair Ian Campbell was “shocked” that Renato Coneliano copped a 4.1% protest vote. Should have been 100%, he reckons. Having 3 founder family members on the board will always generate some push back from us box tickers, particularly for those who are neither CEO or chair. The company secretary was thrown the Sheila protest vote and professed not to know whilst hiding behind weak privacy arguments on proxy adviser recommendation. This was the only disappointing aspect of the AGM. Watch video of exchange via Twitter.
Q3. Could new director Sheila Lines and the chair comment on the recruitment process that led to her appointment to the board. Which recruitment firm assisted with the process, did the full board interview any other candidates and did Sheila know any of our directors or KMP before engaging with the recruitment process?
Answer: The chair explained that Sheila was the first of Redox's NEDs who he didn't know and instead came through a conventional governance process including an external recruiter. Excellent and about time. The full board interviewed 4 candidates and settled on Sheila, who was only able to dial in before she was offshore meeting a 92yo parent in law, which was perhaps too much information. Q4. Thank you to Ian Campbell for his leadership as chair through the float process. It is always helpful for investors to have access to some exit perspectives from retiring independent directors, particularly chairs. Could Ian please comment on what he regards as the 2 best decisions Redox made during his time as chair and, if he had is time again, would he do anything differently?
Answer: The chair reckons bringing an acquisitions focus to the company's growth plans and managing succession well at all levels were his best contributions. Regrets component was ignored. Watch video of exchange via Twitter.
