Q1. On the accounts: "Following the 2018 merger of equals between SRG Limited and Global Construction Services (GCS), BDO took over as the lead auditor of the newly formed parent entity starting from the 2019 financial year. How many competitive audit tenders have we conducted over the ensuring 7 years and when are we next likely to run a competitive audit tender?"
Q2. General business: "It is surprising that a company with 6,000 shareholders and a market cap of $2.5 billion chooses to have physical AGMs with not even a webcast of proceedings. Also, there is no recording or transcript of last year's AGM debate on your website. Will you undertake to hold a proper hybrid AGM next year so that shareholders who don't reside in the world's most isolated major city are able to participate online?"
Q3. Rem report resolution: "Which proxy advisers caused last year's comprehensive 35% remuneration report strike by persuasively recommending against such that a significant amount of their institutional clients disagreed with the board and voted against the report? Did we engage differently with proxy advisers and major shareholders this year and where did the major proxy advisers land this year with their remuneration voting recommendations?"
Q4. Resolution 3: election of Mark Foster: "Could new director Mark Foster and the chair comment on the recruitment process that led to his appointment to the board. Was a recruitment firm involved, did the full board interview any other candidates and did Mark know any of our directors before engaging with the recruitment process?"
Q5. Resolution 4: renewal of performance rights plan: "When disclosing the outcome of voting on all resolutions today, including this proposed renewal of the performance rights plan, please advise the ASX how many of our 6,000 shareholders voted for and against each item, similar to with a scheme of arrangement? This will provide a better gauge of retail shareholder sentiment on all resolutions and insight into the chronically low retail shareholder participation rate. The likes of Qantas, ASX, Suncorp, Tabcorp, Myer, Flight Centre, Stockland and even the world's biggest share registry provider Computershare have all voluntarily provided this data at their most recent AGMs. You've got the data, so why not let the sun shine in?"
Q6. Resolution 5: CEO LTI grant resolution: "Could CEO David MacGeorge please summarise his past LTI grants as to whether they have vested or lapsed. Also, has he ever sold any ordinary shares in the company or bought any on market without relying on an incentive scheme to build his equity position in the company? Please don't say look it up in the annual report and through ASX announcements. It's complicated over David's long 12 year run as CEO of SRG and he could factually summarise the situation in 60 seconds."
