Q1. What is our problem when it comes to treatment of retail shareholders in capital raisings? In October 2024 we did a $20m placement with no SPP for retail investors and then in July 2025 we did a $50m placement, again with no SPP, which was followed by another $16.5m placement just 4 weeks ago, again with no SPP. Why should your nearly 5,000 retail shareholders support anything you propose when you treat us so badly? Will you offer your retail shareholders a make-good Share Purchase Plan before you redomicile to the US and why have you not done an SPP since 2021?
Answer: Usual bunkum from CFO Geoff Hollis…need for speed, depressed share price, you can always buys on market…blah blah blah. Should have run for this board to put more pressure on for an SPP. Watch video of exchange via Twitter.
Q2. If the move to Delaware proceeds, what is the board's plan in terms of say on pay voting? Will they continue to put a remuneration report up for the vote every year as occurs under Australian law? In what ways are the remuneration arrangements and their governance expected to change once we become a US company?
Answer: The CFO and question wrangler Geoff Hollis said he's working through a big long list of governance chances with the move to Delaware and at this stage he wasn't in a position to commit on remuneration voting. Watch video of exchange via Twitter.
Q3. Can you name any other listed defence contractors which have announced plans to redomicile to the US over the past two years and did any US government official or elected representative specifically advise us to do this in order to win more US contracts? Isn't Australia regarded as a trusted ally given AUKUS and our membership of the Five Eyes intelligence alliance?
Answer: The US CEO Jim Stewart explained how it would help. Interesting. No other examples were cited. Watch video of exchange via Twitter.
Q4. Did we use a recruitment firm to source Trey and did he know any of our directors or KMP before engaging with the recruitment process?
Answer: Based on this response from CEO Jim Stewart, sounds like it was an inside job to land retired US general Henry “Trey” Obering onto the Titomic board, with no recruitment firm involved. He was known to Jim and one other director and previously served on Titomic's advisory board. As the former head of the US Missile Defence Agency and key strategic adviser on Trump's Golden Dome pipe dream, he's clearly a heavy hitter. Unfortunately, "Trey" didn't even turn up to the 9am virtual AGM where he was elected for the first time and also granted 5m Titomic options. Wasn't the point of a 9am virtual AGM so that US-based directors could attend? There were 4 director no shows. Watch video of exchange via Twitter.
