2 questions lodged at 2026 Flight Centre (FLT) virtual EGM

May 14, 2026

Below is the text of the 2 written questions submitted at the 15 minute Flight Centre (FLT) 9am virtual EGM via Computershare platform to approve Pedal Group related party transaction on May 14, 2026. See notice of meeting. Voted via CPU on April 26. Market cap was $2.17 billion on EGM day. The proxies were not disclosed early in the formal addresses. There were no protest votes and they included head count data in these poll results. No other shareholder asked questions.

Q1. When did we get constitutional approval to hold virtual shareholder meetings and please confirm that you'll persist with best practice hybrid AGMs going forward. Also, when disclosing the poll outcome to the ASX, will you include the headcount data so we can see how many of our circa 90,000 shareholders voted for and against this related party transaction. You commendably did this at the last two AGMs and it will be interesting to see if participation is again less than 1000. Finally, was there any material against vote on the proxies, which ideally would have been disclosed to the ASX along with the formal addresses?

Answer: The question wrangler Haydn Long broke this into three parts. Acting chair Colette Garnsey said constitutional approve was attained in 2020, they would continue with hybrids and head count data would also be provided. The proxy were displayed before the debate and showed strong support. All good. Watch video of exchange via Twitter.

Q2. Once we've received this $61.7m payment from the Turner family, could Graham please comment as to approximately what proportion of the Turner family wealth will be tied up in Flight Centre shares and whether this transaction will lead to any diminution of his focus on Flight Centre. Will Pedal Group be his biggest business interest outside of Flight Centre and how much of his time was he putting into Pedal Group when we owned 47%. Is this likely to change once his family owns 100%? For instance, will Graham sit on the Pedal Group board going forward?

Answer: The question wrangler Haydn Long badly censored this question. The acting chair Colette Garnsey said “Skroo” Turner is available for Flight Centre business “literally 24 hours a day”. The man never sleeps! He gives 110%. A shame this work didn't include turning up at this EGM and properly answering this badly censored question. The real chair Gary Smith was also a no show. Overseas, apparently. Watch video of exchange via Twitter.
