5 questions lodged at 2025 Aurelia Metals hybrid AGM

Below is the text of the 5 written questions submitted at the 56 minute Aurelia Metals (AMI) 10am Brisbane time hybrid via the Automic platform on November 27, 2025. Market cap $398m on AGM day. See notice of meeting with only 4 resolutions. No early disclosure of proxies along with Peter Botten's last chair address. Bruce Cox now takes over as acting chair and the only protest vote was against new director Rachel Brown which was 48.9% on the proxies, falling to 26.8% in the poll as fellow director Lyn Brazil delivered his 380m votes from the floor, something he pointed out at the meeting when the proxies were flashed up.

Q1. Best practice is now to disclose the proxy position to the ASX along with the formal addresses to offer more timely disclosure to the market and a more fully informed AGM debate? The likes of Origin Energy, NAB, Car Group, Viva Energy, Webjet, Xero, Myer, Brambles and JB Hi Fi all do this. Will you adopt this practice at future shareholders meetings and have there been any material proxy protest votes on any of today's resolutions, including this remuneration report item?

Q2. 29% of the total issued capital register is a very low proxy turnout for a company of our size. Is this because we have a large retail base or are there large individual shareholders who will voting on the day in the room. What explains why 71% of the total shares on issue weren't voted by proxy ahead of today's meeting?

Q3. When disclosing the outcome of voting on all resolutions today, please advise the ASX how many shareholders voted for and against each item, similar to with a scheme of arrangement? This will provide a better gauge of retail shareholder sentiment and insight into the chronically low retail shareholder participation rate. The likes of Qantas, ASX, Suncorp, Tabcorp, Myer, Flight Centre, Stockland and Computershare all voluntarily do this. You've got the data, so why not let the sun shine in?

Q4. Could new director Rachel Brown and the chair comment on the recruitment process that led to her appointment to the board. Was a head hunter involved, did the full board interview any other candidates? Did Rachel know any of our directors before engaging with the recruitment process?

Q5. If no proxy adviser recommended against any resolution today, can you explain the protest vote against Rachel's election which wasn't repeated on this resolution.
