5 questions lodged at 2025 NTAW Holdings hybrid AGM

Below is the text of the 5 written questions submitted at the 33 minute NTAW Holdings (NTD) 10am Brisbane hybrid AGM and via the Computershare platform on November 13, 2025. Market cap $48.6m after a tough 3 years. They were on a second strike which was luckly avoided with only 6% against given that 84% of directed proxies appeared to accidentally support the board spill resolution. Amazing. See notice of meeting and voting results. The proxies were not disclosed early in the formal addresses.

Q1. How many full time equivalent staff do we currently have and is this likely to fall over the coming 12 months with the rapid roll out of AI? Which parts of our business and operations are the most prospective for AI productivity gains and how energetically are we embracing those opportunities?

Q2. It is good that you withdrew the extra placement capacity resolution but why did you feel the need to ask for it in the first place? What is your history in terms of doing placements with no SPP? Next time you raise capital, will you consider doing a pro-rata issue which treats all shareholders equally, rather than contemplating issuing as much as 25% of the company's shares to whoever you like, potentially diluting existing shareholders without compensation?

Q3. Thank you for offering shareholders a hybrid AGM this year via the excellent Computershare online AGM platform and will you commit to keep doing this in future years to maximise shareholder participation? Big companies like Bank of Queensland, BHP, Fortescue, GPT, Harvey Norman, Iluka, Origin, Premier Investments, Ramsay Healthcare, Rio Tinto, Santos, Seven Group, Soul Pattinson, Whitehaven Coal and Worley all banned online questions and voting at their latest AGMs, so well done for showing them up. What was the experience like from your end? Also, can you disclose the headcount data in the poll results, like with a scheme of arrangement, so we can see how many shareholders voted for and against the CEO's LTI grant? Computershare did this at it's AGM today and has the data.

Q4. Well done for avoiding a strike and getting 92% today. What major changes did you make and do any of the proxy advisers cover us?


Answer: This one was lodged too late when dealing with the rem report but question wrangler Stephanie should have returned to it at the end in general business.

Q5. Are you sure there were 82.6% in favour of the spill? Why didn't you contact shareholders to clarify their vote. This would be a record yes for a spill but for the fact you didn't suffer a second strike?

Answer: The question wrangler Stephanie was pretty brutal and she didn't read this one out at all.
