5 questions lodged at 2025 Perenti hybrid AGM

Below is the text of the 5 written questions submitted at the 74 minute Perenti (PRN) hybrid AGM held in Perth on October 10, 2025 and via the Link/MUFG platform, plus a summary of the answers and some video grabs via Twitter. See notice of meeting. Market cap was $2.71b on AGM day after a boomer year. The announced a CEO succession on the day of the meeting and therefore withdrew the LTI grant resolution. No early disclosure of the proxies with the formal and no protest votes after 15% opposed rem last year when they were on a second strike.

Q1. Which of the 5 main proxy advisers - ACSI, Ownership Matters, Glass Lewis, ISS and ASA - covered us this year and did any recommend a vote against any of today's resolutions, including this remuneration report item? If so, what reasons did they give and did this translate into any material protest votes? Please don't say they are confidential. It is standard for companies to be across this detail on the voting recommendations and inform shareholders where relevant.

Q2. Could the CEO summarise his past LTI grants as to whether they have vested or lapsed. Also, has he ever sold any ordinary shares in the company or bought any on market without relying on an incentive scheme to build his equity position in the company? Please don't say look it up in the annual report and through ASX announcements. It's complicated and the CEO could factually summarise the situation in 60 seconds.

Q3. How many full time equivalent staff do we currently have and is this likely to fall over the coming 12 months with the rapid roll out of AI? Which parts of our business and operations are the most prospective for AI productivity gains and how energetically are we embracing those opportunities?

Q4. Could new director Greg Walker and the chair comment on the recruitment process that led to his appointment to the board. Was a head hunter involved, did the full board interview any other candidates? Did Greg know any of our directors or executives before engaging with the recruitment process?

Q5. Thanks for offering a best practice hybrid AGM. It's a shame more companies based in the world's most isolated city don't do this, as opposed to forcing east coast shareholders to fly across the country to participate. In order to achieve AGM practice, next year could you disclose the proxies to the ASX along with the formal addresses. Also, in today's poll results, please reveal how many shareholders voted for & against, like with a scheme. I've just voted online in favour of this proportional takeovers resolution.
