6 questions lodged at 2025 Rocket DNA virtual AGM

May 30, 2025

Below is the text of the 6 written questions submitted at the Rocket DNA (RKT) 9am virtual AGM Perth time via the Automic platform. See notice of meeting. Market cap $11m.

Q1.With a market cap of $11 million and our shares at just 1.2c, we clearly have have far too many shares on issue. Will the chair commit to putting up a share consolidation resolution at next year's AGM.

Answer: The chair said he would think about it after the question wrangler butchered it. Watch video of exchange via Twitter.

Q2. "I'm generally against proposals which give boards the unfettered power to issue 25% of the company's capital to anyone they like with no shareholder approval or rights for the existing shareholders to participate and avoid being diluted without compensation. Could the chair please comment on why we continue to raise capital through selective placements, rather than doing pro-rata raisings which treat all shareholders equally and don't require any specific shareholder approvals. Please focus on pro-rata raisings in future and don't ask for this extra 10% placement capacity at next year's AGM."

Q3. "I'm all for giving shareholders the vote on remuneration matters, but seriously, 14 different remuneration resolutions? Why have we made this so complicated, have there been any material protest votes against any of the rem items and will we make it less complicated with less rem resolutions at next year's AGM?"

Q4. What relationship, if any, do we have with Droneshield, which is now capitalised at more than $1 billion, and how many other Australian-owned drone companies of scale are there in the Australian market? Are we the second biggest and do the the drone companies work together? Is there any form of drone industry association up and running to help with government regulations around flying rules and the like?

Answer: The chair gave a good summary after the question wrangler butchered it. Watch video of exchange via Twitter.

Q5. Is a recording being made of this meeting and will it be published on your website for the benefit of the nearly 1000 shareholders who were not able to tune in live to today's AGM. I had 2 other AGMs at the same time today because by waiting until the last possible day, you have clashed with 37 other disorganised public companies holding their AGM on the last possible day. Please hold your AGM earlier next year.

Q6: Resolution 15: What happens if this item is defeated, have there been any protest votes and what is the history of our constitution allowing virtual AGMs, when many constitutions don't allow this. Will we commit to having a hybrid AGM next so shareholders can attend both in person and online?
