5 questions asked at 2022 Reckon EGM

January 2, 2023

Here is the text of the 5 written questions asked at 2022 Reckon EGM, held on November 25 to change the CEO's LTI arrangements after sale of the accounting business.

1. Why couldn't this wait for the next AGM?

Answer: CEO Sam Allert said the plan finished on December 321 this year.

2. When all is said and done, how much will it have cost shareholders to call and run this EGM?

Answer: company secretary said cost is confidential to Computershare.

3. When disclosing the outcome of voting on this resolution today, could you please advise the ASX how many shareholders voted for and against each item, similar to what happens with a scheme of arrangement? This will provide a better gauge of retail shareholder sentiment on all resolutions and was a disclosure initiative adopted by the likes of Metcash, Altium and Dexus last year and Webjet and Tabcorp so far this AGM season. Also, how many shareholders voted by proxy ahead of the meeting, delivering that impressive 98% mandate?

Answer: company secretary just read out the proxy votes but failed to deliver the extra data.

4. Despite this being a fairly boring discussion of a non-controversial issue, could the chair undertake to make an archived copy of the webcast plus a full transcript of proceedings available on the company's website? The likes of Nine, AGL, ASX, ANZ, Domino's and Lend Lease all produced their 1st AGM transcripts in 2021. Will you follow suit today? This is something IAG has been doing since 2003.

Answer: chair said "I can't see why not?"

5. Why are you breaching my privacy by disclosing the size of my shareholding in an attempt to discredit them? Please apologise for doing this.

Answer: Company secretary said: "My Mayne I'm happy to apologise, I was not intending to breach your privacy." Chair reiterated the apology.
