This list tracks the board size constraints and nomination requirements at a range of ASX listed companies.

4D Medical (4DX): constitution outlines a range of 3-10 directors and it currently has 6 directors including 2 females. Nominations must be 35 business days before AGM with no upper limit and non-shareholders can self-nominate.

Adairs: constitution outlines a range of 3-8 directors and it currently has 5 directors including 3 females. Nominations must be 45-90 business days before AGM and supported by 100 shareholders or 5% of issued capital.

AFIC (AFI): constitution outlines a range of 3/10 directors and it currently has 7 directors including 3 females. Nominations must be 40 business days before AGM.

AGL: constitution outlines a range of 3/10 directors and it currently has 8 directors including 3 females. Nominations must be 35 business days before AGM.

Artrya (AYA): constitution doesn't appear to be online so emailed requesting a copy on October 3, 2025.

Alpha HPA (A4N): constitution is not on the website so emailed the company requesting it be published on September 17 2025 and investor relations boss Robert Lord replied saying he was looking into this.

ALS Ltd: constitution outlines a range of 3/8 directors and it currently has 8 directors including 2 females. Nominations must be 45/90 business days before AGM.

AMP: constitution outlines a range of 3-16 directors and it currently has 9 directors including 5 females. p32 says nominations must be 45 business days before AGM, signed by 25 members and satisfy "responsible person policy".

Ansell (ANN): constitution outlines a range of 4/8 directors and it currently has 8 directors including 2 females. Nominations must be 45 business days before AGM.

Antipa Minerals (AZY): constitution outlines a range of 3-9 directors and it currently has 6 directors and no females. Nominations must be 30 business days before AGM by a shareholder.

Argo Investments (ARG): p26 of constitution outlines a range of 3-9 directors and it currently has 7 directors including 2 females. p27 says nominations must be at least 30 business days before AGM.

Australian Agricultural Company (AAC): constitution outlines a range of 3-9 directors and it currently has 8 directors, including 2 females. Nominations must be 30 business days before AGM.

Argosy Minerals (AGY): the constitution on page 30 outlines a minimum of 3 directors with no maximum and it currently has 5 directors including 1 females. Shareholder can self-nominate at least 30 business days before the AGM with no maximum period.

Aspen Group (APZ): constitution outlines a range of 3-10 directors and it currently has 5 male directors and no females. Nominations must be 35 business days before AGM and shareholders can self-nominate.

Astral Resources (AAR): constitution is not on the website so have requested they fix this. Market cap $300m+ as stock soars to record highs. Ran a physical AGM in Perth last year.

ASX Group: p17 of constitution outlines a range of 7-15 directors and it currently has 9 directors including 3 females. p18 says non-shareholder can self-nominate at least 40 business days before AGM.

Atlas Alteria Roads (ALX): constitution outlines a range of 3-5 directors and it currently has 4 directors including 1 female. Nominations must be at least 35 business days before AGM.

AUB Group: constitution outlines a range of 3-10 directors. Nominations must be by a shareholder at least 35 business days before the AGM.

# Aurizon Holdings: p22 of constitution outlines a range of 3-10 directors and it currently has 8 directors only including 3 females. A non-shareholder can self-nominate at least 30 business days before AGM.

Bank of Queensland (BOQ): constitution outlines a range of 3-12 directors and it currently has ??? directors. Nominations must be 35-90 business days before AGM and shareholder can self-nominate but there are numerous fit and proper barriers to entry in this constitution.

Bendigo & Adelaide Bank (BEN): constitution outlines a range of 3-12 directors and it currently has 9 directors including 3 females. Nominations must be 45-55 business days before AGM. Some unusual director pay provisions about retirement and extra duties.

BHP: p40 of constitution outlines a range of 8-20 directors and it currently has 12 directors including 3 females. p?? says nominations must be ?? business days before AGM.

Boss Energy (BOE): constitution outlines a range of 3-10 directors and it currently has 5 directors, including 3 females. Nominations must be ?? business days before AGM.

Brambles (BXB): p31 of constitution outlines requirement of 3 directors for a quorum (no other reference described) and it currently has 10 directors including 3 females. Nominations must be at least 45 business days before AGM.

Brickworks: constitution outlines a range of 3-10 directors and it currently has 7 directors including 2 females. Nominations must be by a member at least 35 business days before AGM. All directors have got 2 months after appointment to satisfy the qualification of owning at least 500 shares.

Brisbane Broncos (BBL): May 28, 2024: physical meeting at Broncos League club. Questions can be emailed 5 days in advance. Constitution outlines a range of 3-10 directors and it currently has 6 directors including one female. Nominations must be 30 business days before the AGM by a shareholder with no maximum notice period.

Cars Group (CAR): constitution outlines a range of 3-12 directors and it currently has 6 directors including only 1 female. Signed nominations must be left at office by candidate and a shareholder 35 business days before AGM.

Capricorn Metals (CMM): constitution outlines a range of 3-10 directors and it currently has 5 directors, including one female as at August 2025. Nominations must be 35-90 business days before AGM which is in November each year. Only substantials are Van Eck, Paradice and T Rowe and have about 4,000 shareholders.

Centaurus Metals (CTM): 10.30am physical meeting in Perth on May 28, 2024. See notice of meeting. The constitution outlines a range of 3-7 directors and it currently has 6 directors but only 1 female. Nominations by a shareholder must be 30 business days before the AGM and on page 32 it uses archaic language suggesting only men can nominate. Market cap was $171m in December 2024.

Chalice Mining (CHN): constitution outlines a minimum of 3 directors and no maximum. Currently has 4 male directors. Nominations must be 35-90 business days before AGM and a shareholder can self-nominate.

Challenger Financial Group: constitution outlines a range of 3-12 directors and it currently has the maximum of 12 with 3 females. Nominations must be by a shareholder and between 45 and 90 business days before AGM.

Charter Hall (CHC): constitution outlines a range of 3-10 directors and it currently has 7 directors including 2 females. Nominations must be 35 business days before AGM.

Clarity Pharmaceutical (CU6): constitution outlines a minimum of 3 directors with no maximum and it currently has 6 directors including 3 executives, an executive chair and two female directors. Nominations must be 35 business days before AGM with no maximum time. Shareholders can self-nominate.

Cochlear (COH): constitution outlines a range of 3-10 directors and it currently has 9 directors, including 2 females. Nominations must be 30 business days before AGM.

Coles Group (COL): the constitution outlines a range of 3-10 directors and it currently has the maximum of 10 directors, including 4 females. Nominations must be between 45 and 90 business days before the AGM.

Commonwealth Bank (CBA): the constitution on p35 outlines a range of 9-13 with no more than three executive directors. There is currently 11 directors, including 3 females. p33 says shareholder can self-nominate between 45 and 90 business days before AGM.

Computershare (CPU): constitution outlines a range of 3-10 directors and it currently has 9 directors including only 1 female. p34 says shareholder can self-nominate 35 to 90 business days before the AGM.

Corporate Travel Group (CTM): constitution outlines a range of 3-12 directors and it currently has 6 directors. Nominations must be 35 business days before AGM. Can self nominate and auditor employees are banned.

Core Lithium (CXO): constitution outlines a range of 3-9 directors and it currently has 4 directors, but only 1 female. Nominations must be 30 business days before AGM and you don't need to be a shareholder.

Cromwell Group: constitution outlines a range of ????? directors and it currently has ??? directors. Nominations must be ?? business days before AGM.

CSL: constitution outlines a range of 3-12 directors (at least 66% must be Australian citizens, along with chair and deputy chair) and it currently has 9 directors including 2 females. Shareholder can nominate at least 30 business days before AGM.

Cyclopharm (CYC), May 27, 2024: physical meeting in Sydney at 11.30am - see notice of meeting. Capped at $168m in December 2024. The constitution unusually opens on page 4 outlining a range of 3-9 directors. Nominations must be 35 business days before the AGM and made by two members, whose names are included in the notice of meeting sent to all shareholders. See page 5.

Dalrymple Bay Infrastructure (DBI): constitution outlines a range of 3-9 directors and it currently has 5 directors, including 2 females. Nominations must be 45-90 business days before AGM but must be supported by at least 100 shareholders or the holders of 5% of shares on issue.

# Dexus Property Group: constitution is very different to others because it is a trust.

Dicker Data (DDR): The constitution outlines a range of 3-10 directors and it currently has 7 directors, including 4 females, 4 executives and just 2 independents. Nominations can be made by non-shareholders and must be at least 35 business days before the AGM.

Dimerix (DXB): constitution outlines a range of 3-10 directors and it currently has 5 directors, including 2 females. Nominations must be 35 business days before AGM with no upper limit and shareholders can self-nominate.

# Dominos Pizza (DMP): constitution outlines a range of 3-10 directors and it currently has 6 directors including 2 females. Nominations must be at least 30 business days before AGM.

Downer EDI (DOW): constitution outlines a range of max 15 directors and it currently has 7 directors including 2 females. Nominations must be ?? business days before AGM.

Dug Technology (DUG): constitution outlines a range of 3-10 directors and it currently has 5 directors, including 1 female. Nominations must be 35 business days before AGM and supported by 100 shareholders or owners of 5% of issued capital. See entrenchment provision on page 31.

Duxton Water (D20) : 2pm physical meeting in North Adelaide on May 29, 2024 - see notice of meeting. Market cap of $202m in December 2024. The constitution on page 24 gives no range but just follows the law so that means at least 3 with no cap. It currently has 7 directors including 2 females. A non-shareholder can self-nominate at least 35 business days before AGM.

Eagers Automotive (APE): constitution outlines a range of 3-10 directors and it currently has 10 directors but only 2 females. Nominations must be at least 35 business days before AGM.

Elders: constitution outlines a range of 3-8 directors and it currently has 7 directors, including 2 females. Nominations must be at least 60 days before the AGM and shareholders can self-nominate but there are some entrenchment clauses on page 36 of the constitution.

Emeco Holdings (EHL):
constitution outlines a range of 3-10 directors and it currently has 5 directors but only 1 female. Nominations must be at least 30 business days before AGM with no maximum notice period. Shareholders can self-nominate.

Emerald Resources (EMR): constitution not available online so have asked the company to provide it. Nominations must be ?? business days before AGM.

Endeavour Group (EDV): constitution outlines a range of 3-10 directors and it currently has 8 directors, including 3 females. Nominations must be at least 45 business days before AGM.

Euroz Hartleys (EZL): constitution outlines a minimum of 3 directors and no maximum. It currently has 5 directors, including 2 females, along with an executive chair. Nominations must be at least 30 business days before the AGM with no maximum time. Shareholders can self-nominate.

Evolution Mining (EVN): constitution outlines a range of 3-9 directors and it currently has 8 directors including 3 females. Nominations must be between 60 and 90 business days before the AGM and supported by 100 shareholders or owners of 5% of issued capital. See entrenchment provision on page 29.

Flight Centre (FLT): constitution (last amended November 2021) outlines a range of 3 to whatever the board determines and it currently has 6 directors including 2 females. Nominations must be between 45 and 90 business days before AGM.

Electro Optic Systems (EOS): May 21, 2024 10am physical meeting at Minters in Canberra. See notice of meeting. Market cap $213m in December 2024 after coming off plenty. The constitution outlines a range of 3-10 directors and there are interesting director suspension provisions on page 27. It currently has 6 directors with Gary Hounsell as chair and former Federal Labor politician Kate Lundy as the only female. Shareholders can self-nominate at least 45 business days before AGM.

Fortescue Metals Group (FMG): p43 of constitution outlines a range of 3-12 directors and it currently has 10 directors including 3 females, with a requirement that two reside in Australia. p44 says nomination must be between 35 and 90 business days before AGM.

Goodman Group (GMG): p30 of constitution outlines a range of 3-12 directors and it currently has 12 directors including 2 females. p31 says nominations must be 35 business days before AGM.

* GPT Group (GPT): constitution outlines a range of ????? directors and it currently has 7 directors including 2 females. Nominations must be ?? business days before AGM.

Graincorp (GNC): constitution outlines a range of 4-10 directors and it currently has 7 directors including 2 females. Nominations must be at least 30 business days before AGM.

Harvey Norman (HVN): constitution (last amended November 2020) outlines a range of ????? directors and it currently has 6 directors including no females. p?? says nominations must be ?? business days before AGM.

Healius: constitution outlines no less than 3 directors and it currently has 8 directors including 1 female. Nominations must be at least 35 business days before AGM.

HMC Capital (HMC): constitution outlines a range of 3-10 directors and it currently has 7 directors including 3 females. Nominations must be at least 30 business days before AGM with no maximum period and shareholders can self-nominate.

Insurance Australia Group (IAG):
p23 of constitution outlines a range of 3-12 directors and it currently has 9 directors including 2 females. p23 says nominations must be at least 55 business days before AGM.

Iluka Resources (ILU): the constitution outlines a range of between 3 and 10 directors and external nominations must be received at least 35 business days before the meeting with no maximum period. A shareholder can self-nominate.

IOOF Holdings: constitution outlines a range of 5-11 directors and it currently has 6 directors including two females. Nominations must be between 30 and 40 business days before AGM.

Iress Market Technology (IRE): constitution outlines a range of 3-8 directors and it currently has 7 directors including 2 females. Nominations must be at least 35 business days before AGM.

Judo Capital:
floated in 2021 and constitution specifies a range between 3 and 9 although the board can choose to go higher and the company can go lower if resolved by was of resolution. External candidates must give 40 business days notice.

Lend Lease (LLC): constitution outlines a range of ????? directors and it currently has 9 directors including 2 females. p?? says nominations must be ??? business days before AGM.

Liontown Resources (LTR): constitution outlines a range of 3-7 directors and it currently has 6 directors. Nominations must be 45 business days before AGM and shareholders can self-nominate.

Lotus Resources (LOT): constitution outlines a range of 3-9 directors and it currently has 4 directors including 1 female. Nominations must be 30 business days before AGM and shareholder can self-nominate.

Macquarie Group (MQG): constitution says between 5-10 directors (p22) and it currently has 9 directors including 4 females. Must be nominated by a shareholder at least 45 business days before AGM.

Magellan Financial Group (MFG): constitution outlines a range of 3-10 directors and it currently has 6 directors including 1 female. Nominations must be at least 35 business days before AGM.

Medibank Private: p17 of constitution outlines a range of 5-8 directors and it currently has 8 directors including 3 females. p18 says nominations must be at least 45 business days before AGM and nominees must gather 100 signatures of have support from 5% of the shares on issue.

Mesoblast (MSB): constitution outlines a range of 3-10 directors and it currently has 6 directors, with chair Jane Bell being the only female. Nominations must be by a shareholder between 35 and 90 business days before the meeting.

Metcash (MTS): constitution outlines a range of ????? directors and it currently has ??? directors. Nominations must be ?? business days before AGM.

Mindax Ltd: constitution outlines a range of 7-10 directors and shareholders can self-nominate for the board 35 business days before the AGM.

Mineral Resources (MIN): constitution outlines a range of 3-9 directors and it currently has 7 directors including 2 females. Nominations must be at least 45 business days before AGM with no maximum notice period. Shareholders can self-nominate.

Northern Star (NST): constitution outlines a range of 5-12 directors and it currently has 8 Perth-based directors, including 3 females. Nominations must be 45-90 business days before an AGM and you don't need to a shareholder but there is a strange "regulatory clearance" provision at 10.6(b) on page 25.

Mirvac (MGR): constitution outlines a range of 3-10 directors and it currently has 8 directors including 3 females. Nominations must be 35 business days before AGM and individuals can self-nominate without being a shareholder.

Monash IVF (MVF): constitution outlines a range of 3-10 directors and it currently has 6 directors including 3 females. Nominations must be more than 45 business days before AGM with no maximum notice period and shareholders can self-nominate.

Murray Cod Australia (MCA): constitution outlines a range of 3-10 directors and it currently has 5 directors but no females. Nominations must be 35 business days before AGM with no upper time limit and shareholders can self-nominate.

NIB Holdings (NHF): constitution outlines a range of 3-10 directors and it currently has 7 directors including 3 females. Punter can self-nominate 35 business days before AGM.

Nickel Industries (NIC): constitution is not published online so have emailed the company requesting that this be done of they email a copy through. Got no reply, so joined the earnings conference call on February 24, 2025, and asked about it then.

Nine Entertainment Company (NEC): p27 of constitution outlines a range of 3-? directors and it currently has 7 directors including only 1 female. p28 says nominations must be at least 35 business days before AGM.

Nufarm (NUF): constitution outlines a range of ????? directors and it currently has ??? directors. Nominations must be ?? business days before AGM.

Myer Holdings (MYR): constitution outlines a range of 4-12 directors and it currently has just 4 directors, with executive chair Olivia Wirth the only female. Nominations must be 45-90 business days before the AGM and shareholders can self-nominate.

Origin Energy (ORG): p20 of constitutions outlines a range of 5-12 directors and it currently has 9 directors including 2 females. p21 says nominations must be at least 45 business days before AGM.

Orora: constitution outlines a range of 3-8 directors and it currently has 6 directors including 2 females. Candidates can self-nominate of be nominated by a single shareholder between 35 and 45 business days before the AGM.

OFX Group (formerly Ozforex) constitution outlines a range of 3-10 directors and it currently has 9 directors including 3 female. Any person can nominate more than 35 business days before AGM.

# Paladin Energy (PDN): constitution outlines a range of 3-9 directors and it currently has 8 directors, including 3 females. Nominations must be 45-90 business days before AGM but there is an unusual provision on page 36 saying the nominee (not necessarily a shareholder) must advise each member of their nomination. There is an age limit of 72.

Pepper Money: constitution outlines a range of 3-9 directors and it currently has 7 directors including 2 females. Nominations must be 45-90 business days before the AGM and shareholders can self-nominate.

PEXA (PXA): constitution outlines a range of 3-9 directors and nominations must be by a member and at least 45 business days before the AGM.

Platinum Capital (PMC): constitution only requires a minimum of 3 directors with no maximum. It currently has just 3 directors, chair Margaret Towers, Ian Hunter and co sec Joanne Jefferies. Nominations must be 35 business days before AGM. The 2024 annual report said it has 8,815 shareholders.

Premier Investments (PMV): the constitution on p19 outlines a minimum of 3 directors and no maximum. It currently has 9 directors including 2 females. External nomination can be from a non-shareholder and must be more than 35 business days before the meeting.

Qantas (QAN): constitution has some unique elements on p28. Range is 3 to whatever the board sets and external candidates must have 100 signatures or 5% of the stock behind them.

QBE Insurance (QBE): constitution outlines a range of 3-12 directors and it currently has 9 directors including 2 females. Non-shareholder can self-nominate at least 35 business days before AGM.

Qube Holdings (QUB): constitution outlines a range of 3-10 directors and it currently has 8 directors including 2 females. Nominations must be 40 business days before AGM and shareholders can self-nominate (see page 24).

Ramsay Healthcare (RHC): constitution outlines a range of 3-12 directors and it currently has 10 directors including 5 females. Nominations must be 45 business days before AGM and shareholders can self-nominate.

REA Group (REA): constitution outlines a range of 3-10 directors and it currently has 9 directors including 4 females. Nominations must be at least 30 business days before AGM.

Reece (REH): constitution doesn't appear online so requested this be rectified but instead they only emailed through a copy so here it is hosted on my website and not available on there's. The board range is 3-10 and it currently has 6 directors including 1 female. A shareholder can self-nominate at least 30 business days before the AGM.

Regis Healthcare: constitution outlines a range of 3-8 directors and it currently has 6 directors including only 1 female. Nominations must be 45-90 business days before AGM and supported by at least 100 shareholders like an AGM resolution.

Regis Resources (RRL): constitution is not on the website so have requested it be published. Currently has 6 directors including 2 females. Nominations must be ?? business days before AGM.

Ridley (RIC): the animal feed giant has a constitution which requires nominations to be more than 35 business days before the meeting and on page 22 has an unusual requirement that a majority of directors must reside in Australia. Board size is only subject to the Corps Act and determined by directors so there is no constitutional cap.

Rio Tinto (RIO): no upper limit and constitution says must be nominated by a shareholder between 45 and 65 business days before the meeting.

Ryman Healthcare (RYM): Kiwi company which listed on the ASX in October 2025. The constitution is quite strange and vague on director numbers and appointment requirements for external candidates. It currently has 6 directors including 2 females.

Santos (STO): the constitution outlines a range of 5-10 directors and it currently has 8 directors including 2 females. p33 says nominations by a shareholder candidate or by a shareholder for a non-shareholding candidate must be submitted 45 business days before AGM.

Scentre Group (SCG): constitution outlines a range of 3-16 directors and it currently has 8 directors including only 1 female. Individual can self-nominate between 45 and 90 business days before the AGM.

Nominations must be at least 40 business day before the AGM and candidates don't need to be shareholders but must be nominated by a shareholder or can self-nominate as a shareholder.

Soul Patts (SOL): new constitution after Brickworks merger outlines a range of 3-10 directors and it currently has 8 directors including 3 females. Nominations must be more than 45 business days before AGM with no maximum notice period. Shareholders can self-nominate.

South32 (S32): p28 of constitution outlines a range of 3-11 directors and it currently has ?? directors. p29 says nominations must be between 45 and 90 business days before the AGM and be supported by at least 100 members in accordance with the requirements for calling an EGM. Very defensive, Mr Crawford!!
